The Lender will not exercise any voting or other such consensual rights or powers under the terms of this Master Pledge Agreement.
If the Company organizes or acquires a new Subsidiary (as defined in the Security Agreement) that is organized or incorporated in the United States, the Company shall pledge the equity interests of such Subsidiary to secure this Note no later than 15 Trading Days of such organization or acquisition and become a party to the Security Agreement and the Pledge Agreement (as defined in the Security Agreement) (including the delivery of the pledged securities) within such period.
