The expansion is the addition of one (1) Caterpillar G3520C Landfill Gas Engine Generator Set rated at 1.6 MW to the existing Landfill Gas to Electric Power Facility rated at 4.8 MWH consisting of three (3) Caterpillar G3520C Landfill Gas Engine Generator Sets each rated at 1.6 MW.
Since the Balance Sheet Date, there shall have occurred no events, nor will there exist any circumstances that, when considered either individually or in the aggregate, shall result in or are reasonably expected to result in a Material Adverse Effect of Purchaser, which for the purposes of this Section 7.1.6 shall not include any adverse effects with respect to Susanville or the Susanville Power Facility or any breach of any representations and warranties of Seller.

Susanville has, or has the benefits of the Permits to construct and develop the Susanville Power Facility and operate the Facility as an approximately 13 megawatt biomass-energy power plant and in accordance with applicable Laws set forth on Schedule 3.2.15.
No Governmental Authority has indicated to Susanville, Seller, Purchaser or any Affiliate or representative of any thereof that any application for any Governmental permit, license or other approval required for the operation of the Susanville Power Facility, will be delayed, rejected or otherwise adversely affected on account of the transfer of the LLC Interests as contemplated hereby.
Susanville has not caused any, and to Susanville’s Knowledge there has been no, release, spill or discharge of any Hazardous Material on, in or under the property owned or leased by Susanville during the period of Susanville’s use or occupancy of or access to the Susanville Power Facility site.
POSCO Power shall use its commercially reasonable efforts to complete the construction of the POSCO Power Facility within two (2) years of the Effective Date (the “POSCO Power Facility Completion Date”); provided, however, that the failure by POSCO Power to complete such construction by the POSCO Power Facility Completion Date shall not be considered a material breach or failure of this Agreement (including Article IV) or any other Transaction Agreement.

At no cost to Landlord, Tenant shall install equipment to transport the paper sludge from the wastewater treatment plant to the Power Facility, and shall add screw presses or other equipment necessary to allow Landlord to reduce the moisture content of the sludge.
