Each Purchaser acknowledges that, concurrently with the Closing and pursuant to the Prospectus, the Company may sell up to $[ ] of additional Shares and Warrants to purchasers not party to this Agreement, and will issue to each such purchaser such additional Shares and Common Warrants and/or Pre-Funded Warrants and Common Warrants in the same form and at the same Per Share Purchase Price.
The term “Prospectus” means the prospectus supplement (the “Prospectus Supplement”) relating to the Shares, the Pre-Funded Warrants and the Pre-Funded Warrant Shares, filed with the Commission pursuant to Rule 424 of the Rules and Regulations, together with the Base Prospectus, including all documents incorporated therein by reference.
In each case, the election to receive Pre-Funded Warrants is solely at the option of the Purchaser.
The Pre-Funded Warrant Shares are duly authorized, and when issued in accordance with the terms of the Pre-Funded Warrants, will be validly issued, fully paid and nonassessable, free and clear of all Liens imposed by the Company.
Upon receipt of the Securities, and payment of the purchase price therefor, the Purchaser will have good and marketable title to such Securities, and such the Pre-Funded Warrants and the Pre-Funded Warrant Shares will be immediately and freely tradable.
