Preemptive Share definition

Preemptive Share means, immediately prior to any issue of shares of New Securities, and as to each Series C Holder, the percentage which expresses the ratio between (i) the total number of shares of Common Stock issuable upon conversion of the Series C Stock owned by such Series C Holder, plus the total number of shares of Common Stock then owned by such Series C Holder that was received upon conversion of Series C Stock, and (ii) the total number of shares of Common Stock and Non-voting Common Stock then outstanding, plus the total number of shares of Common Stock and Non-voting Common Stock issuable upon conversion of the then outstanding Preferred Stock.
Preemptive Share has the meaning set forth in Section 9.9(b).
Preemptive Share means (x) with respect to the Purchaser, the Purchaser Preemptive Share and (y) with respect to the General Partner, the General Partner Preemptive Share.
