Preference Share Capital definition

Preference Share Capital means, with reference to any company limited by shares, whether formed before or after the commencement of this Act, that part of the share capital of the company which fulfils both the following requirements, namely : -
Preference Share Capital means in relation to the Company, its preference share capital within the meaning of Section 43 of the Act, as amended from time to time.
Preference Share Capital means the entire issued, subscribed and paid-up preference share capital of the Company divided into 28,35,630 (Twenty Eight Lakhs Thirty Five Thousand Six Hundred and Thirty) 7% Cumulative Non-Participating Redeemable Preference Shares of Rs.100/- (Rupees One Hundred Only) amounting to a total of Rs. 28,35,63,000/- (Rupees Twenty Eight Crores Thirty Five Lakhs Sixty Three Thousand Only) (all 7% Cumulative Non-Participating Redeemable Preference Shares of

Related to Preference Share Capital

  • equity share capital means the total issued and paid-up equity share capital of the Company, calculated on a Fully Diluted Basis.

  • Paid-up share capital means the paid-up share capital as defined in Section 2 of the Companies Act, 2013.

  • Voting Share Capital means the total voting equity share capital of the Target Company on a fully diluted basis as of the tenth (10th) working day from the closure of the Tendering Period (as defined below) of the Open Offer; and

  • Capital Shares means the Common Stock and any shares of any other class of common stock whether now or hereafter authorized, having the right to participate in the distribution of earnings and assets of the Company.

  • Class B Ordinary Shares shall have the meaning ascribed to it in Section 2.4(a).

  • Preferred Stock as applied to the Capital Stock of any corporation, means Capital Stock of any class or classes (however designated) which is preferred as to the payment of dividends, or as to the distribution of assets upon any voluntary or involuntary liquidation or dissolution of such corporation, over shares of Capital Stock of any other class of such corporation.

  • Series A Preferred Shares means the Series A Preferred Shares of the Company, par value US$0.0001 per share, with the rights and privileges as set forth in the Memorandum and Articles.
