The Settlement Administrator shall be entitled to a reasonable fee for such services according to the provisions of this Agreement and the Preliminary Approval Order; but in no event shall the Settlement Administrator engage in any pre-Effective Date services except where the services were expressly authorized in writing in advance by Settlement Class Counsel and Defendant or their designated representatives.
Within thirty (30) days of the Preliminary Approval Order, Defendant’s Counsel shall provide the Settlement Administrator with the Class List.
The Preliminary Approval Order approving the Settlement and certifying the Class for settlement purposes only shall be null and void and the case may be certified only if Plaintiff is granted class certification after full briefing on a motion for such certification, or if the Parties otherwise agree.

The Preliminary Approval Motion will seek the setting of a Fairness Hearing for final approval of the Settlement before the Court at the earliest practicable date.
