Class Counsel is responsible for delivering the Court’s Preliminary Approval to the Administrator.
Turnkey has agreed to pay, subject to Court approval, up to Three Hundred and Eighty-Five Thousand Dollars ($385,000) for the class counsel’s attorneys’ fees and their reasonable costs and expenses of the Litigation, including the negotiation and implementation of this Settlement Agreement, the Preliminary Approval process, the Claims Administration Process, and the Final Fairness Hearing process.
Class Counsel and Defense Counsel are jointly responsible for: (a) expeditiously finalizing and filing the Motion for Preliminary Approval no later than thirty (30) calendar days after the full execution of this Agreement; (b) obtaining a prompt hearing date for the Motion for Preliminary Approval; and (c) appearing in Court to advocate in favor of the Motion for Preliminary Approval.
If the Court does not grant Preliminary Approval or conditions Preliminary Approval on any material change to this Settlement, Class Counsel and Defense Counsel will expeditiously work together on behalf of the Parties by meeting in person or by telephone or email, and in good faith, to modify the Settlement and otherwise satisfy the Court’s concerns.
