Premium Price definition

Premium Price means, for any share of Series D Convertible Preferred Stock as of any date of determination, the product obtained by multiplying (a) the sum of (1) the Conversion Amount plus (2) an amount equal to the accrued but unpaid dividends on such share of Series D Convertible Preferred Stock to the date of determination, plus (3) an amount equal to the accrued and unpaid interest on dividends in arrears (as provided in Section 5) to the date of determination times (b) the Premium Percentage.
Premium Price means the difference between the allocated (final) price and the Reserve Price in the relevant auction or as specified in the relevant PARCA agreement;
Premium Price means 120% of the product of (x) the Fair Market Value (as defined in Section 4 hereof) as determined on the date hereof and (y) the total number of shares of Common Stock outstanding on the date hereof; provided that in the event that a Qualified Transaction of the type described in clause (iii) of the definition of such term is consummated, then the Premium Price shall mean 120% of the product of (A) the Fair Market Value as determined on the date hereof and (B) the total number of shares of Common Stock sold or exchanged in connection with such Qualified Transaction.
