The offer to prepay Notes contemplated by subparagraph (a) of this Section 8.7 shall be an offer to prepay, in accordance with and subject to this Section 8.7, all, but not less than all, the Notes held by each holder (in this case only, “holder” in respect of any Note registered in the name of a nominee for a disclosed beneficial owner shall mean such beneficial owner) on a date specified in such offer (the “Proposed Prepayment Date”).
This Amendment shall constitute a Prepayment Notice with respect to the Initial Term Loans and the Lenders party to this Amendment hereby waive any additional Prepayment Notice requirement with respect to the Initial Term Loans being prepaid in connection with this Amendment.
No later than on the Project Completion Date, the Sponsor shall make, or cause the Parent to make, an Equity Contribution, to be deposited in the Debt Service Payment Account, in the amount necessary, if any, for the Borrower to make in full the Mandatory Prepayment contemplated by Section 3.06(c)(x) (Project Completion Prepayment) of the Loan Agreement, after giving effect to the transfer contemplated in Section 2.10(c) (Construction Reserve Account) of the Accounts Agreement.
