PREPAYMENT ESCROW ACCOUNT definition

PREPAYMENT ESCROW ACCOUNT means an account, bearing interest at a commercially reasonable rate in relation to the given circumstances, held with the Agent (or such other financial institution reasonably acceptable to the Agent) in the name of the Borrower, over which the Borrower has granted or will grant security in favour of the Security Trustee and into which sums are deposited in accordance with Clause 9 (Mandatory Prepayment).
PREPAYMENT ESCROW ACCOUNT means an account, bearing interest at a commercially reasonable rate in relation to the given circumstances, held with the Agent (or such other financial institution reasonably acceptable to the Agent) in the name of the Parent or, prior to the Pushdown Date, the CWC Parent, over which the Parent or, as the case may be, the CWC Parent has granted or will grant security in favour of the Security Trustee and into which sums are deposited in accordance with Clause 10 (Mandatory Prepayment).
PREPAYMENT ESCROW ACCOUNT has the meaning assigned to such term in Section 2.11(g).

  • The Borrower shall ensure that to the extent that any Insurance Proceeds to be applied in accordance with sub-clause 9.3.2 of Clause 9.3 (Mandatory Prepayment from Insurance Proceeds) are not deposited in the prepayment escrow account established under the Senior Bank Credit Agreement such Insurance Proceeds are deposited in the Prepayment Escrow Account.

PREPAYMENT ESCROW ACCOUNT means the interest bearing account opened and maintained with the Security Trustee in the name of the Borrower into which any amount comprising Mandatory Prepayments are paid in accordance with Clause 7.5 (Mandatory Prepayments) including any sub-accounts thereof.

Any funds remaining in the Prepayment Escrow Account after the application of funds on deposit therein in accordance with the foregoing provisions of this paragraph shall be paid by the Administrative Agent to the Company.
