Primary Offering definition

Primary Offering means the portion of an Offering other than the Shares offered pursuant to the Company’s distribution reinvestment plan.

Primary Offering shall have the meaning specified in Section 2.04(n) of this Agreement.

Primary Offering has the meaning given to such term in Section 2.02(b).

Examples of Primary Offering in a sentence

• The Soliciting Dealers’ respective obligations to contribute pursuant to this Section 9 are several in proportion to the number of Shares sold by each Soliciting Dealer in the Primary Offering and not joint.

• The Borrower shall provide the Holder no less than ten (10) business days’ notice of the anticipated closing of a Primary Offering and an opportunity to exercise its conversion rights in connection therewith.

• Dealer shall not receive dealer manager fees for sales of any DRIP Shares, or for sales of any Class S, Class D or Class I shares, whether in the Primary Offering or pursuant to the DRIP.

More Definitions of Primary Offering

Primary Offering means an offer to the public, made by or on behalf of a company, of securities to be issued by that company, or another company— (aa) within a group of companies of which the first company is amember; or(bb) with whom the first company proposes to merge; or 50(cc) into which the first company proposes to be amalgamated;
