If any Holder proposes to conduct an Underwritten Offering under a Mandatory Shelf Registration Statement, such Holder shall advise the Company, all other Holders, and any Prior Holders whose securities are included in the Mandatory Shelf Registration Statement, of the managing underwriters for such proposed Underwritten Offering, such managing underwriters to be subject to the approval of the Company, not to be unreasonably withheld.
All Prior Holders proposing to distribute their securities through such underwriting shall enter into an underwriting agreement in customary form with the underwriter or underwriters selected for such underwriting by a majority of the Initiating Holders (which underwriter or underwriters shall be reasonably acceptable to the Company).
In such event, the right of any Prior Holder to include its Registrable Securities in such registration shall be conditioned upon such Prior Holder's participation in such underwriting and the inclusion of such Prior Holder's Registrable Securities in the underwriting (unless otherwise mutually agreed by a majority in interest of the Initiating Holders and such Prior Holder) to the extent provided herein.
The Prior Holders and the Ford Holders shall have fifteen (15) days from the giving of such notice to agree to purchase the Equity Securities for the price and upon the terms and conditions specified in the notice by giving written notice to the Company and stating therein the quantity of Equity Securities to be purchased.
Each Prior Holder who has not executed and delivered this Agreement shall be entitled to all rights of a Prior Holder hereunder as if such person had executed this Agreement and the only right of first refusal of the Prior Holders and the Common Shareholders shall be as set forth in this Agreement.
