Any reference in this Agreement to an allocation between or sharing by the Lenders of any right, interest or obligation “ratably,” “proportionally” or in similar terms shall refer to Pro Rata Share unless expressly provided otherwise.
The offer to prepay Notes contemplated by subparagraph (a) of this Section 8.10 shall be an offer to prepay the Notes held by each holder in an amount equal to each such holder’s Pro Rata Share of the net cash proceeds from the relevant Asset Sale pursuant to Section 10.8(a) and in accordance with and subject to this Section 8.10 on a date specified in such offer (the “Section 8.10 Proposed Prepayment Date”).
On the date that Payment in Full occurs (whether on the Maturity Date, by acceleration or otherwise) (such date, as used in this Section 3.5, the “Back End Date”), the Borrower shall pay to the Administrative Agent (for the account of the Noteholders in accordance with their Pro Rata Shares) a non-refundable back end fee in an amount equal to three percent (3.00%) of the initial Outstanding Principal Amount of the Loans funded on the Closing Date plus (the “Back End Fee”).
Notwithstanding (but without duplication with) the foregoing, on the Maturity Date, if the Final Payment had not previously been paid in full in connection with the prepayment of the Term Loans in full, Borrower shall pay to Collateral Agent, for payment to each Lender in accordance with its respective Pro Rata Share, the Final Payment in respect of the Term Loan(s).
The offer to prepay Notes contemplated by subparagraph (a) of this Section 8.9 shall be an offer to prepay the Notes held by each holder in an amount equal to each such holder’s Pro Rata Share of Excess Cash as of the applicable Excess Cash Calculation Date in accordance with and subject to this Section 8.9 on a date specified in such offer (the “Section 8.9 Proposed Prepayment Date”).
