Pro Rata Allotment definition

Pro Rata Allotment means with respect to any Award Shares proposed to be transferred, as determined for any Stockholder, the number of such Award Shares multiplied by a fraction, the numerator of which is the number of shares of Common Stock owned of record on the relevant date of determination by such Stockholder (on an as if converted basis), and the denominator of which is the number of shares of Common Stock owned of record on the relevant date of determination by all Stockholders (on a fully-diluted, as if converted basis). Each Stockholder shall have the right to assign its rights under this subsection (b) to the Company, or to the other Stockholders (proportionately, based upon proportions of the Pro Rata Allotment allocated to each Stockholder, excluding the assigning Stockholder).

Pro Rata Allotment means the quotient determined by dividing (i) the number of Executive Capital Units (other than Restricted Units) held by Executive at such time, by (ii) the number of Capital Units (other than Restricted Units) then issued and outstanding at such time.

Pro Rata Allotment has the meaning set forth in Section 4.7.

Examples of Pro Rata Allotment in a sentence

• Each Stockholder shall have the right to assign its rights under this subsection (b) to the Company, or to the other Stockholders (proportionately, based upon proportions of the Pro Rata Allotment allocated to each Stockholder, excluding the assigning Stockholder).

• The Stockholders shall have the right to accept the offer to purchase the Award Shares proposed to be transferred for the consideration and on the terms and conditions specified in the Notice, with each Stockholder having the right to acquire its Pro Rata Allotment (as defined below).

• If, after the date hereof, the Company authorizes the issuance or sale of any New Securities to any Investor, the Company shall, as provided in this Section 5, offer to sell to Executive his Pro Rata Allotment of such New Securities.

• At least fifteen (15) days prior to any issuance by the Company of any New Securities to any Investor, the Company shall give written notice (each, an “Issuance Notice”) to Executive specifying in reasonable detail the total amount of New Securities to be issued, the purchase price thereof, the other material terms and conditions of the issuance and Executive’s Pro Rata Allotment of the New Securities.

• The Stockholders shall have the right to accept the offer to purchase the shares proposed to be transferred for the consideration and on the terms and conditions specified in the Notice, with each Stockholder having the right to acquire its Pro Rata Allotment (as defined below).

More Definitions of Pro Rata Allotment

Pro Rata Allotment means, with respect to any Security Holder, the ratio that the number of Securities then held by such Security Holder bears to the total number of Securities then held by all Security Holders.

Pro Rata Allotment has the meaning set forth in Section 2.7(a).

Pro Rata Allotment means a proportion of the Securities of the type being issued equal to such Class B Common Stockholder's Subscription Portion multiplied by the amount of Securities being issued. For the avoidance of doubt, the Securities issued to a Class B Common Stockholder upon exercise of such Class B Common Stockholder's rights pursuant to Section 5(b) hereof shall be in addition to and shall not reduce the amount of Securities being sold by the Corporation to third parties. "SUBSCRIPTION PORTION" shall mean a ratio equal to such Class B Common Stockholder's Deemed Ownership divided by the Corporate Capitalization, calculated as of five (5) Business Days prior to the date of the Corporation's written offer to the holders of Class B Common Stock pursuant to Section 5(b).

Pro Rata Allotment has the meaning given to such term in Section 2.1(c) of this Agreement.

Pro Rata Allotment with respect to a written offer of Additional Interests or New Securities, means, for each Class A Partner, an amount equal to a fraction, the numerator of which is the number of Class A Interests held by such Class A Partner and the denominator of which is the aggregate number of Class A Interests outstanding, in each case, as of the date of such written offer.

Pro Rata Allotment has the meaning ascribed to it in Section 4.1(d) of this Agreement.

Pro Rata Allotment means, with respect to any Stockholder, the ratio of the number of issued and outstanding shares of Common Stock then owned by such Stockholder bears to the total number of issued and outstanding shares of Common Stock then held by all the Stockholders.
