Examples of Proceeding in a sentence
Process in any Proceeding referred to in the first sentence of this Section may be served on any party anywhere in the world.
There is no pending Proceeding and, to the Knowledge of the Purchaser, no Person has threatened to commence any Proceeding: that challenges, or that may be reasonably expected to have the effect of preventing, delaying or making illegal the Transactions; or (iii) that relates to any right to receive consideration as a result of this Agreement.
The Seller hereby irrevocably covenants to refrain from, directly or indirectly, asserting any claim or demand, or commencing, instituting or causing to be commenced, any Proceeding of any kind against any Releasee, based upon any matter purported to be released hereby.
Which shall be governed exclusively by Section 6.03,in the event of the assertion or commencement by any Person of any claim or Proceeding with respect to which the Seller may become obligated to hold harmless, indemnify, compensate or reimburse any Purchaser Indemnified Party pursuant to Article IX, the Purchaser shall have the right, at its election and at its sole expense (but subject to Purchaser's right for indemnification hereunder), to proceed with the defense of such claim or Proceeding.
The pendency of a Dispute Resolution Proceeding under this Article 11 shall not relieve the Parties of any duty to perform their respective obligations under the ISO Tariffs, ISO Procedures, or relevant agreement.
