CGB will become an associated company “Securities Sale Agreement” A conditional securities sale agreement dated 12 January 2005 entered into by the Purchaser and the Vendors of the Group after completion of the Proposed Acquisitions.
The Proposed Acquisitions will enable Xxxxx to acquire substantial interests of “RM” Ringgit Malaysia, the lawful currency of Malaysia “Sale Securities” 119,557,850 CGB Shares and 89,566,967 CGB ICULS to be acquired under the Securities Sale Agreement “SC” Securities Commission of Malaysia approximately 40.03% in CGB Shares and 72.25% of CGB ICULS respectively and become the single largest shareholder of CGB.
On the date of signing of the Facility Agreement of 24 February 2022, the Company has notified the Insurance Authority (the “IA”) in respect of the matters regarding the Facility Agreement and the Proposed Acquisitions (the “Notice to IA”) in compliance of the undertaking given by the Company to the IA, under which the notice period shall be not less than 60 days or shorter period as the IA may allow.
As disclosed in the Announcement, the consideration of each of the Proposed Acquisitions was determined on arm’s length negotiations with reference to the initial indicative valuation of the equity interest of the respective Target Companies as at 31 October 2016 as appraised by the Valuer by using income approach valuation method.
