The Company proposes to acquire a number of companies (each, a "Founding Company") in the ready-mixed concrete and related products industry (the "Proposed Acquisitions") for combinations of cash and common stock of the Company ("Common Stock") prior to any initial underwritten public offering of Common Stock by the Company.
The Company desires to obtain up to $3,000,000.00 of financing to pay the fees and expenses of its legal counsel and independent public accountants, its organizational expenses and the various other expenses the Company expects to incur up to the time the Proposed Acquisitions close (collectively, the "Expenses").
