Proposed Investment definition

Proposed Investment shall have the meaning set forth in Section 3.1.
Proposed Investment means a reliability investment or economic investment proposed by Transpower and submitted by it to the Board for approval under rules 13 or 14, respectively, of section III of part F of the rules. For the avoidance of doubt, an investment that is to be fully funded under an investment contract by one or more designated transmission customers that are party to that investment contract is not a proposed investment.
Proposed Investment means (i) the proposed acquisition by the Borrower or the Guarantors in or of all or substantially all of the assets or Stock of any Proposed Acquisition Target, (ii) the merger of any Proposed Acquisition Target with or into the Borrower or the Guarantors (and, in the case of a merger with the Borrower, with the Borrower being the surviving limited liability company) or (iii) any proposed loan to, joint venture with or any other investment in any other Person by the Borrower or the Guarantors.
