Proposed Product definition

Proposed Product means any method or process, composition, product, or component part thereof for which rights to the Patent Rights or Copyrights are necessary or commercially justifiable for manufacture, sale, or distribution of such proposed product.
Proposed Product means an unreleased product (a) that Licensee would like to develop, or is in the process of developing, for sale directly or indirectly to end-user customers, and (b) that will, if approved and certified pursuant to this Use License, control or interface, communicate, or otherwise interoperate with Compatible Products using Licensed Technology.
Proposed Product means an actual or potential Licensed Product that is for an application, product, sub-field or indication in the Licensed Field, but for which Wistar reasonably believes a Licensed Product is not being actively developed or commercialized by Company, its Affiliates or Sublicensees.

  • As an alternative to negotiating a sublicense to a third party, COMPANY (or one of its AFFILIATES or SUBLICENSEES) may submit to THE PARTIES within **** months after such third party’s request for a sublicense, a plan for prompt and diligent development of the Proposed Product, including a commitment to commercially reasonable development milestones.

  • For each Proposed Product, Licensee must self-certify, at Licensee's expense, that such Proposed Product: (i) is compatible with all Compatible Products, as applicable, (ii) meets all requirements of the applicable Licensed Specifications and other Documentation, and (iii) complies with all other requirements set forth in this Use License.


More Definitions of Proposed Product

Proposed Product means (a) the Initial Formulation developed (or proposed to be developed) for Indication(s) that, as of the Effective Date, are not the subject of the Initial Product NDA (as the label resulting from such Initial Product NDA may be expanded or amended based upon any clinical data resulting from the BLOOM-DM Trial or any clinical data specific to the Initial Product existing as of the Effective Date) or (b) any pharmaceutical product containing the Compound or a Related Compound other than the Initial Product (including a pharmaceutical product that contains the Compound or a Related Compound as an active pharmaceutical agent together with one or more other active pharmaceutical agents).
Proposed Product means an unreleased product (i) that Licensee would like to develop, or is in the process of developing, for sale directly or indirectly to end-user customers, and (ii) that will, if approved and certified pursuant to this Use License, control or interface, communicate, or otherwise interoperate with Compatible OS Products using Licensed Technology.
Proposed Product means a pre-release version of Company’s proposed accessory device that Company submits to Microsoft or its Certification Testing Center to verify the device’s compatibility with the Xbox 360 console in accordance with the Certification Specifications.
