Proxy Materials definition

Proxy Materials has the meaning set forth in Section 3.4(a).

Proxy Materials means the proxy statement and other proxy materials, including any amendments and supplements thereto, to be used to solicit proxies on behalf of the Board in connection with the Shareholders Meeting.

Proxy Materials shall have the meaning set forth in Section 6.2(a).
