Proxy Statements means the Shareholder Proxy Statement and the Warrantholder Proxy Statement.

Proxy Statements means the proxy statements to be delivered to (i) shareholders of the Company in connection with the solicitation of their approval of this Agreement and the transactions contemplated hereby and (ii) depositors of Keystone in connection with the solicitation of their approval of the Conversion and the transactions contemplated thereby, as amended and supplemented.
