Proxy vote definition

Proxy vote means a shareholder vote cast by a fiduciary on behalf of the shareholder.
Proxy vote means a vote of a Director or member not present at a meeting of the Association and shall state in writing the motion under consideration and that Director or member's vote on the motion.
