Determination by Utility that interruption, curtailment or disconnection is necessary because of forced outages, Force Majeure, compliance with Prudent Electrical Practices or due to curtailment, outage or interruption of deliveries by Utility’s supplier(s).
Customer shall design, construct, install, own, operate, maintain and repair, at its sole expense, Customer’s Facility and all Facilities and equipment on Customer’s side of the Point of Interconnection which are necessary for the delivery of electric energy to Utility for the operation of Customer’s Facility in parallel with Utility’s System and the receipt by Customer of Supplemental Service from Utility in accordance with Prudent Electrical Practices and in good working order.
Customer shall perform all of its obligations pursuant to the Agreement in accordance with Prudent Electrical Practices.
During the term of this Agreement, Customer shall develop and maintain such records concerning the operation and maintenance of its Facility and related equipment as are consistent with Prudent Electrical Practices and such records as are required by Utility.
