The Termination, the Conversion and the Ventas Purchase Option Assignment shall occur immediately upon the receipt by the Administrative Agent of the amounts described in the immediately preceding sentence and no Assignment and Assumption Agreement shall be required in connection with such assignment.

In the event that Homeowner sells the home to a party other than HCHT (whether directly to such party or as a result of HCHT’s assignment of its Purchase Option to such party), the price to be paid by such purchaser shall include in addition to the Purchase Option Price, at the discretion of HCHT, a transfer fee to compensate HCHT for carrying out its responsibilities with regard to the transaction.
