Purchased Common Units definition

Purchased Common Units means the Common Units to be issued and sold to the Purchasers pursuant to this Agreement.

Examples of Purchased Common Units in a sentence

• All Purchased Common Units held or acquired by Persons who are Affiliates of one another shall be aggregated together for the purpose of determining the availability of any rights under this Agreement.

• The covenants made in this Agreement or any other Basic Document shall survive the closing of the transactions described herein and remain operative and in full force and effect regardless of acceptance of any of the Purchased Common Units and payment therefor and repayment, conversion, exercise or repurchase thereof.

• No fees or commissions will be payable by such Purchaser to brokers, finders or investment bankers with respect to the sale of any of the Purchased Common Units or the consummation of the transactions contemplated by this Agreement.

• Notwithstanding the foregoing, the Company shall not, and shall cause its directors, officers and Affiliates not to, sell, offer for sale or solicit offers to buy any security (as defined in the Securities Act) that would be integrated with the sale of the Purchased Common Units in a manner that would require the registration under the Securities Act of the sale of the Purchased Common Units to the Purchasers.

• The Purchased Common Units shall have those rights, preferences, privileges and restrictions governing the Common Units as set forth in the Company Organizational Document.

More Definitions of Purchased Common Units

Purchased Common Units means the Common Units sold by NEE Equity to NEE Partners on the Closing Date as set forth herein.

Purchased Common Units means all of the Common Units of Holdings issued to upon the Conversion in exchange for the Interest in Holdings that acquired pursuant to the Original Agreement (which is expected to be Common Units), as may be adjusted from time to time as a result of any dividend or distribution payable in securities, reclassification, recharacterization or similar event with respect to Common Units generally.
