Purchased Note definition

Purchased Note has the meaning assigned to such term in Section 12.

Purchased Note means the Note, in the maximum aggregate principal amount of $500,000,000 to be issued to the Agent (or its nominee) on behalf of the Investors pursuant to the Indenture and Section 2.01 hereof.

Purchased Note means, as of any time with respect to any Transaction, the applicable Seller Note transferred, or purported to be transferred, to Buyer pursuant to such Transaction.

• Seller has good and marketable title to the relevant Purchased Note and Transferred Rights, free and clear of all liens, pledges and encumbrances of any kind.
