Purchased Records definition

Purchased Records has the meaning set forth in Section 2.2(h).
Purchased Records means those Records owned by Arena or any of its Affiliates (other than Arena GmbH) as of the Effective Date that are related solely to the Compound, Product, Inventory, Third Party Distributor Agreements, Arena Regulatory Approvals, Purchased Intellectual Property, Samples, Purchased Validation Materials or Product Domain Names, but excluding any Records to the extent including or referencing data and information relating to the performance of obligations or exercise of rights under any Third Party Distributor Agreement before the Effective Date or any claim or demand that a Third Party Distributor or Arena or its Affiliate may have against the other that relates to matters under any Third Party Distributor Agreement arising before the Effective Date.
Purchased Records means all of Seller’s plats, plans, drawings, and specifications, creative materials, advertising and promotional materials, studies, reports and other printed or written materials related to the Shoal Creek Mine, in each case, to the extent relating exclusively to the Business, including the following information related to the Shoal Creek Mine, core hole data, drill logs, maps, geography and geotechnical data, gas well locations and drill data, maintenance, downtime and other records related to the Purchased Assets, Real Property records (including leasing records) and title information, all data and info related to Permits, operational reports regarding the mine and preparation plant, records regarding coal sales, including coal qualities, pricing, and customers by vessel for at least the past 3 years, any penalties/premiums on sales contracts, reports on the warehouse usage and usage of parts & supplies inventory, financial data related to the Purchased Assets, including fixed asset register, parts and supplies inventory reports, Coal Inventory reports, Employee data necessary to set up employees in the payroll system, OSM reclamation fee calculation and return, severance tax calculation and return, vendor master data file, recent sales invoices, in each case, whether in hard copy or computer format.

Examples of Purchased Records in a sentence

  • Each Party shall, during normal business hours, grant and provide the other Party access to the Purchased Records in the possession or control of such Party for the purposes of conducting an audit of the information set forth in the Proposed Final Settlement Statement.

  • Purchaser shall maintain in an orderly manner, and shall not dispose of, the Purchased Records or such work papers, books and records during the six year period beginning with the Closing without Seller's consent.

  • Following the expiration of such six-year period, Purchaser may dispose of the Purchased Records or such work papers, books and records at any time upon giving 90 days prior written notice to Seller, unless Seller agrees to take possession thereof within such 90 days at no expense to Purchaser.

  • Buyer, on behalf of itself and its Affiliates, hereby grants to Seller and its Affiliates a non-exclusive, royalty-free, non-transferable (except as provided in Section 6.6 of the Asset Purchase Agreement) license and right of reference, with the right to grant further licenses and sublicenses and rights of reference, to all Purchased Protocols, Purchased Data, Purchased Records, Purchased Patents, Purchased Trademarks and Licensed IP, in each case, to the extent necessary to perform the Services.

  • The Purchased Records have been maintained in the ordinary course of business, consistent with Seller’s past practice.


More Definitions of Purchased Records

Purchased Records shall have the meaning set forth in Section 2.1.4.
Purchased Records means all books, records and files, including customer and vendor lists, warranty details, marketing and promotional materials, credit records maintained by Eton and related to a Product, other than the Purchased Regulatory Documents, which includes all documents, if any, relating to the calculation of baseline AMP (“Baseline AMP Information”).
Purchased Records means the items listed or described on Schedule 1.1(d).

Purchased Records means all books, documents and records or copies thereof owned by Foods or Outlook relating to the Foods Business, which are employee records, customer correspondence and records (including account information), manuals, engineering data, designs, drawings, blueprints, plans, specifications, lists, computer media, software and software documentation (to the extent transferable by Foods), sales literature, catalogues, promotional items, advertising materials, customer lists, and other similar written materials.
