Purchaser Designee definition

Purchaser Designee means each individual then serving on the Board of Directors pursuant to the exercise of the Purchaser’s rights pursuant to Section 4.07(a) and/or Section 4.07(e), together with any designee(s) of the Purchaser who is then standing for election to the Board of Directors pursuant to Sections 4.07(a) and (b) or who is being proposed for election by the Purchaser pursuant to Section 4.07(e).

Purchaser Designee shall have the meaning set forth in Section 2.1(a) hereof.

Purchaser Designee means any Subsidiary of Purchaser designated by Purchaser as purchaser of one or more of the Purchased Equity Interests or Acquired Assets on or prior to the Closing Date pursuant to Section 13.2.

• For the avoidance of doubt, failure of the stockholders of the Company to elect any Purchaser Designee to the Board of Directors shall not affect the right of the Purchaser to nominate directors for election pursuant to this Section 4.07 in any future election of directors.

More Definitions of Purchaser Designee

Purchaser Designee means an individual designated in writing by the Purchaser for (i) election to the Board or (ii) appointment as a non-voting observer, as the case may be, pursuant to Section 5.09.
