Purchaser Fundamental Warranties definition

Purchaser Fundamental Warranties means any representations and warranties of the Purchasers contained in Section 4.02(a) to Section 4.02(e).

Purchaser Fundamental Warranties means the Warranties set out in sections 5.1, 5.2, 5.3 and 5.4.

• The Company Fundamental Warranties and Purchaser Fundamental Warranties shall survive until the latest date permitted by Law or indefinitely if such date is not provided.

• All Purchaser Warranties other than the Purchaser Indemnifiable Warranties and the Purchaser Fundamental Warranties shall terminate and be extinguished as of the Completion Date, and the Purchaser and AerCap shall have no liability with respect to such Purchaser Warranties after the Completion Date.

• The Purchaser Fundamental Warranties shall survive indefinitely after the Completion Date.

• The Purchaser Fundamental Warranties and the Purchaser’s liability in connection therewith will survive and continue in full force and effect indefinitely.

Purchaser Fundamental Warranties means the warranties contained in Sections 4.1 (Organisation and Standing), 4.2 (Authorisation; Binding Agreement), 4.3 (Governmental Approvals), 4.4 (Non-Contravention) and 4.16 (Finders and Brokers).

Purchaser Fundamental Warranties means any representations and warranties of the Purchaser contained in Section 4.02(a) to Section 4.02(c).

Purchaser Fundamental Warranties means, collectively, the representations and warranties of the Company in Section 2.2(a) (Due Formation), Section 2.2(b) (Authority) and Section 2.2(c) (Valid Agreement).

Purchaser Fundamental Warranties means the each of the warranties made by AerCap and the Purchaser in paragraphs 1, 2 (other than the warranty in Paragraph 2.5) and 3 of Part B of Schedule 1.

Purchaser Fundamental Warranties means those representations and warranties set forth in Section 5.1 (Purchaser Bank; Organization, Standing and Authority), Section 5.2 (Purchaser Bank; Corporate Authorization and Binding Effect), Section 5.5 (Purchaser Bank; No Brokers), Section 5.7 (Purchaser Bank; Availability of Funds), Section 6.1 (Purchaser; Organization and Authority), Section 6.2 (Purchaser; Ownership of Shares), Section 6.3 (Purchaser; Corporate Authorization and Binding Effect), and Section 6.5 (Purchaser; No Brokers).

Purchaser Fundamental Warranties has the meaning ascribed to it in Section 7.3(a).

Purchaser Fundamental Warranties means the representations and warranties set forth in Section 4.1 (Organization; Qualification), Section 4.2 (Authority), Section 4.3(b)(ii) (Governmental Consents; No Violation) and Section 4.8 (Brokers).
