QPP Certificate definition

QPP Certificate means a credit certificate for the purposes of the Qualifying Private Placement Regulations 2015 (2015 No. 2002), given in the form set out in Schedule 2.17(g).
QPP Certificate means a certificate given in the form set out in Exhibit 4.
QPP Certificate means a creditor certificate for the purposes of the QPP Regulations, given in the form set out in Exhibit P which, in the case of a New Lender, shall be delivered together with the relevant Incremental Assumption Agreement or Assignment and Acceptance.

Examples of QPP Certificate in a sentence

  • If applicable, the Eligible Entity must provide the balance sheet and income statements for the last three years of the entity or entities providing equity or security for the Award together with an explanation of the legal relationship among the legal entities.

  • If any Obligor receives a notification from HM Revenue & Customs that a QPP Certificate given by a Lender has no effect, the relevant Obligor shall deliver a copy of that notification to the Lender.

  • Each holder of a Note which intends to become a QPP Holder shall deliver a QPP Certificate on the date it becomes party to the Note Purchase Agreement.

  • If a holder of a Note who is beneficially entitled to interest payable on such Note intends to become a QPP Holder and is unable to produce a QPP Certificate in relation to itself, that holder of a Note shall not be treated as a QPP Holder until such time as it delivers the appropriate QPP Certificate.

  • The Parties acknowledge without any liability to any Party that, where a Lender can deliver a QPP Certificate, it will do so in the form set out in Schedule 10 ( Form of QPP Certificate).

QPP Certificate means a creditor certificate for the purposes of the QPP Regulations, given in the form set out in Exhibit E.

QPP Certificate means a creditor certificate for the purposes of the QPP Regulations, given in the form scheduled to the Note Purchase Agreement.
QPP Certificate has the meaning given to it in Clause 12.1 (Definitions).
QPP Certificate means a creditor certificate for the purposes of the QPP Regulations, given, whether in the case of any holder which becomes a Party on the day on which the Note Purchase Agreement is entered or in the case of a transferee holder, in relation to each person which is beneficially entitled to the interest payable on the Notes and in the form set out in the Note Purchase Agreement.
