The Adjusted Options are intended to provide the current and former officers, directors and employees of RTC and its subsidiaries with opportunities to purchase stock in the Company pursuant to options granted hereunder which qualify as "incentive stock options" under Section 422(b) of the Internal Revenue Code of 1986 (the "Code") ("ISO" or "ISOs") and options granted hereunder which do not qualify as ISOs ("Non- Qualified Option" or "Non-Qualified Options").
This Option is intended to be a Non- Qualified Option (rather than an incentive stock option), and the Board of Directors intends to take appropriate action, if necessary, to achieve this result.
It is intended that the Qualified Option shall be an Incentive Stock Option as defined in Section 422 of the Internal Revenue Code of 1986, as amended from time to time (the “Code”).
This provision supplements Section 5 (Early Termination of Option) of the Option Agreement: Notwithstanding any post-termination exercise period provided for herein or in the Plan, the Option will qualify as an Qualified Option only if it is exercised within the applicable exercise periods for Qualified Options under, and meets all of the applicable requirements of, the Code.
The Company hereby grants to the Optionee as of the Effective Date under the Consulting Agreement (the “Grant Date”) the right and option (the "Qualified Option") to purchase 100,000 Shares, in whole or in part (the "Qualified Option Stock"), at an exercise price of One Dollar and Ten Cents ($1.10) per Share, on the terms and conditions set forth in this Agreement and subject to all provisions of the Plan.
