Quantity Converted. Quantity Converted shall mean the total amount of API contained in the Products produced with the Quantity Dispensed (including any additional Product produced in accordance with Section 7.9), delivered by Jagotec, and not rejected, recalled or returned in accordance with Section 6.8 as a result of a failure by Jagotec to provide the Product in accordance with Specifications, Quality Agreement and cGMP. Furthermore Quantity Converted shall include any quantities of API contained in Product retained as samples pursuant to the Quality Agreement and also for compliance with cGMP. Within [**] days after the end of each Year, Jagotec shall prepare an annual reconciliation of API in accordance with the reconciliation report form annexed hereto as Schedule 3 including the calculation of the “Actual Annual Yield” or “AAY” for the Product at the Facility during the Year, which AAY is the percentage of the Quantity Dispensed that was converted to Product and is calculated as follows, expressed as a percentage: Quantity Converted during the Year Quantity Dispensed during the Year After Jagotec has produced a minimum of [**] commercial production Batches of Product and has produced commercial production Batches for at least [**] months at the Facility (collectively, the “Target Yield Determination Batches”) pursuant to this Agreement, the Parties will reasonably agree on the target yield in respect of such Product at the Facility (each, a “Target Yield”); provided, however, that the Target Yield Determination Batches shall not include any Batches that, in Jagotec’s reasonable judgment, were produced in production runs involving technical difficulties or involving an extraordinary loss of API. Thereafter, Jagotec shall use commercially reasonable efforts to maintain Actual Annual Yield levels for each Product at or above the applicable Target Yield.

Quantity Converted. The total amount of Active Materials contained in the Products manufactured with the Quantity Dispensed (including any additional Products produced in accordance with Section 6.3(a) or 6.3(b)), delivered by Patheon, and not rejected, recalled or returned in accordance with Section 6.1 or 6.2 because of Patheon’s failure to perform the Manufacturing Services in accordance with Specifications, cGMPs, and Applicable Laws. Within 60 days after the end of each Year, Patheon will prepare an annual reconciliation of Active Materials on the reconciliation report form set forth in Exhibit D including the calculation of the “Actual Annual Yield” or “AAY” for the Product at the Manufacturing Site during the Year. AAY is the percentage of the Quantity Dispensed that was converted to Products and is calculated as follows: Quantity Converted during the Year x 100% Quantity Dispensed during the Year After Patheon has produced a minimum of 15 successful commercial production batches of Product and has produced commercial production batches for at least six months at the Manufacturing Site (collectively, the “Target Yield Determination Batches”), the parties will agree on the target yield for the Product at the Manufacturing Site (each, a “Target Yield”). The Target Yield will be revised annually to reflect the actual manufacturing experience as agreed to by the parties.
Examples of Quantity Converted in a sentence
For each D Day, the “Conversion” requirement is as follows: The Daily Quantity Converted from H-Gas to L-gas under the Base Service cannot be greater than the Daily Quality Conversion Capacity from H-gas to L-gas under the Base Service specified in the Appendix 2 of the Contract.
Every Day, the Daily Quantity Converted from L-gas to H-gas shall be equal to the Daily Quantity Taken Off at the L-to-H Conversion Point – H and to the Daily Quantity Delivered at the L-to-H Conversion Point – L.
Every Day, the Daily Quantity Converted from H-gas to L-gas under the Peak Service shall be equal to the Daily Quantity Taken Off at the H-to-L Conversion Point – Peak Service – L and to the Daily Quantity Delivered at the H-to-L Conversion Point – Peak Service – H.
The calculation of the Daily Quantity Converted from H-gas to L-gas under the Base Service is detailed in the Clause entitled “Calculation method for Daily Quantities converted from H-gas to L-gas Base Service” in Section D2.
