Prior to the date of this Agreement, the Company has made available to Buyer complete copies of each Real Property Lease, and in the case of any oral Real Property Lease (if applicable), a written summary of the material terms of such Real Property Lease and no Real Property Lease has been modified in any material respect, except to the extent that such modifications are disclosed by the copies made available to Buyer.
The Company’s or any of its Subsidiaries’ possession and quiet enjoyment of the Leased Real Property have not been disturbed, and there are no disputes ongoing with respect to any Real Property Lease.
No option has been exercised under any Real Property Lease, except options whose exercise has been evidenced by a written document, a true, complete and accurate copy of which has been delivered to the Company with the corresponding Real Property Lease.
