Receivables Files definition

Receivables Files has the meaning specified in Section 2.5 of the Sale and Servicing Agreement.

Receivables Files means the documents specified in Section 6.3.

Receivables Files means the Depositor Receivable Files and the NCMF Receivable Files.

Further, in such event, the Servicer shall use commercially reasonable efforts to effect the orderly and efficient transfer of the servicing of the Receivables to the successor Servicer, and as promptly as practicable, the Servicer shall provide to the successor Servicer a current computer tape containing all information from the Receivables Files required for the proper servicing of the Receivables, together with the documentation containing any and all information necessary for the use of the tape.
The foregoing sale does not constitute and is not intended to result in any assumption by CNHCR of any obligation of the undersigned to the Obligors, insurers or any other person in connection with the Receivables, Receivables Files, any insurance policies or any agreement or instrument relating to any of them.
The Issuing Entity hereby accepts and agrees to the terms and provisions of the Custodian Agreement and designates Ally Financial as the custodian with respect to the Receivables Files.
The Custodian is familiar with the duties of the Servicer, the servicing procedures and the allocation and distribution provisions (including those related to principal collections, losses and recoveries on Receivables) set forth in the Servicing Agreement and the Indenture and hereby agrees to maintain the Receivables Files in a manner consistent therewith.
The Servicer shall pay the fees of any other Person acting as custodian of the Receivables Files.

Receivables Files means the documents specified in Section 8.3 that relate to Receivables.

Receivables Files means the documents, data and records referred to in Section 7.04(a) hereof.

Receivables Files means with respect to a Receivable, the fully executed original of such Receivable; the original Title Document or UCC financing statement evidencing that the security interest in a Financed Vehicle granted to the Seller under such Receivable has been perfected under applicable state law (except for any Title Documents or UCC financing statements not returned from the applicable public records office, in which case the Seller will deliver to the Buyer, on the Closing Date a Seller’s Certificate indicating that the original of such Title Document has been applied for at, or the original of such UCC financing statement was delivered to, such public office and shows the Seller as the lienholder or secured party and that the Seller will deliver the originals thereof when returned from such office); the original of any assumption agreement or any modification, extension or refinancing agreement; and the original application of the related Obligor to obtain the financing extended by such Receivable.

Receivables Files means with respect to any Receivable, the loan, credit and Collateral files in the possession of a Seller or a Seller Related Party, including payment histories, credit reports, construction draw files, completion records, record books, tax and financial records and such other files reasonably requested and available, including computerized databases and files, whether in hard copy or electronic format. “ResCap” shall have the meaning set forth in the recitals. “Resort Funding SPE” shall have the meaning set forth in the recitals. “RFC” shall have the meaning set forth in the recitals.
