Recipient Participant definition

Recipient Participant means, with respect to any Requesting Participant sending any RFQ via the Request for Quote functionality of the SEF Trading System, a Participant, other than the Requesting Participant, that (x) is not an Affiliate of or Controlled by the Requesting Participant, and (y) is not an Affiliate of or Controlled by any other Person that responds to the same RFQ of the Requesting Participant.

Recipient Participant means a Participant that has received an RFQ from a Requesting Participant.

Recipient Participant means, with respect to any Requesting Participant sending any RFQ via the Request for Quote functionality of the SEF Platform, a Participant other than the Requesting Participant that (x) is not an Affiliate of or Controlled by the Requesting Participant and (y) is not an Affiliate of or Controlled by any other Recipient Participant receiving the same RFQ of the Requesting Participant. “Required Number” means (x) prior to the date one year after the Compliance Date of Part 37, no less than two Recipient Participants and (y) thereafter, no less than three Recipient Participants.

• The Initiator must use reasonable endeavours to first check that the Recipient Participant is not Stopped.

• If applicable, upon request of the Company or the Service Recipient, Participant will provide a separate executed data privacy agreement (or any other agreements or consents) that the Company and/or the Service Recipient may deem necessary to obtain from Participant for the purpose of administering his or her participation in the Plan in compliance with the data privacy laws in Participant’s country, either now or in the future.

• Unless otherwise expressly provided in the Plan, all designations, determinations, interpretations, and other decisions under or with respect to the Plan or any Award shall be within the sole discretion of the Committee, may be made at any time and shall be final, conclusive, and binding upon all Persons, including any Eligible Recipient, Participant or any holder or beneficiary of any Award.

• The Initiator must use reasonable endeavours to first check that the Recipient Participant is not Stopped (see section 5.5.9 for the description of this term).

• If applicable, Participant agrees that upon request of the Company or the Service Recipient, Participant will provide an executed acknowledgement or data privacy consent form (or any other agreements or consents) that the Company and/or the Service Recipient may deem necessary to obtain from Participant for the purpose of administering Participant’s participation in the Plan in compliance with the data privacy laws in Participant’s country, either now or in the future.

More Definitions of Recipient Participant

Recipient Participant means, with respect to any Requester sending any RFQ via the Request for Quote functionality of the SEF, a Participant other than the Requester that (i) is not an Affiliate of or controlled by the Requester, and (ii) is not an Affiliate of or controlled by any other Recipient Participant receiving the same RFQ of the Requester.
