Redemption Payments definition

Redemption Payments is defined in Section 9.8(d).

  • The Notes shall be issued pursuant to the Indenture and all Scheduled Payments, Redemption Payments and Repurchase Payments shall be made by automated clearing house (i.e., ACH) remittance from the Trust Account by the Paying Agent in accordance with the Paying Agent Agreement and the Indenture.

More Definitions of Redemption Payments

Redemption Payments means any purchase, redemption or other acquisition or retirement of Ownership Interests, but shall not include any dividends on or any other distributions in respect of any class or series of Ownership Interests.
Redemption Payments means the redemption payment(s) (either complete or partial) made by the Debtor to an Investor prior to the Petition Date in connection with such Investor’s Investment in the Debtor.
Redemption Payments means the aggregate sum of (a) £11,508,495 being the stated or liquidation value of the Series B Consideration Shares (the “Stated Value”) plus (b) accrued dividends, on the Series B Consideration Shares, calculated from 1 January 2021 to the date of Completion, in the amount of (i) £199,638.38 from 1 January 2021 to 23 March 2021, plus (ii) £2,401.26 for each day from 24 March 2021 to the date of Completion (collectively, the “Accrued Dividends”)1, which is payable by Boxlight to the Preferred Stockholders, and to each Preferred Stockholder in the amounts set out against each Preferred Stockholder’s name in column 2 of the table in as provided in Schedule 2 of this Agreement, as a result of the redemption of all of the Series B Consideration Shares;
Redemption Payments means any amount required to be paid to the Redeemable Preferred Members pursuant to an Optional Redemption, Change of Control Redemption Offer, Mandatory Redemption, Excess Cash Flow Redemption Offer or a Complete Redemption.
Redemption Payments means the payments paid by or to the Bureau to redeem any of the Tax Claims, which amount is paid to XXX for payment, in turn against obligations owing under the Firstrust Note. Repurchase Date shall mean the earlier of: the date which is thirty (30) days following such date as the District receives a notice from Firstrust that an Event of Default has occurred under the Firstrust Note, or the date which is fifteen (15) days prior to the Maturity Date, or if such date is not a Business Day, then the Business Day immediately preceding such date; being the date on which the Unredeemed Tax Claims shall be repurchased from XXX by the District.
