Reference Rate Margin definition

Reference Rate Margin means two hundred fifty (250) basis points.
Reference Rate Margin has the meaning specified in Section 3.1(a)(i).
Reference Rate Margin means (a) for the period from the Closing Date through June 30, 2002, 1.50% and (b) thereafter, the applicable percentage set forth opposite Borrowers' Average Fiscal Quarter Availability in the following table. The Reference Rate Margin shall be adjusted on the first Business Day of each fiscal quarter in Borrowers' fiscal year and shall be determined by reference to the average level of Availability (determined as of the end of each Business Day) during the immediately preceding fiscal quarter or part thereof of the Borrowers.

  • The Interest Rate shall be adjusted by the Bond Trustee on each Interest Quotation Date during the term of the Bonds.Interest shall be calculated on the basis of the actual number of days in the Interest Period in respect of which payment is being made divided by 360 (actual/360-days basis).The Reference Rate, Margin, Interest Period and the current Interest Rate will be specified in the applicable Final Terms.

Reference Rate Margin means (a) during the period from the Closing Date through the day prior to the commencement of the initial Pricing Period, 0.50%, and (b) during each Pricing Period, the percentage set forth below opposite the Leverage Ratio as of the last day of the Fiscal Quarter ending 45 days prior to the start of that Pricing Period: LEVERAGE RATIO REFERENCE RATE MARGIN Less than 2.50:1.00 0% Equal to or greater than 2.50:1.00, but less than 3.00:1.00 0.25% Equal to or greater than 3.00:1.00 0.50%.
Reference Rate Margin means (a) one-half of one percent (1/2 of 1%) per annum, effective on the date on which Bank receives a consolidated Financial Statement of Borrower and its Subsidiaries demonstrating that the Leverage Ratio for the fiscal period covered thereby was thereby was greater than 2.0 to 1.0, (ii) three-eighths of one percent (3/8 of 1%) per annum, effective on the date on which Bank receives a consolidated Financial Statement of Borrower and its Subsidiaries demonstrating that the Leverage Ratio for the fiscal period covered thereby was less than or equal to 2.0 to 1.0 but greater than 1.5 to 1.0, (iii) one-quarter of one percent (1/4 of 1%) per annum, effective on the date on which Bank receives a consolidated Financial Statement of Borrower and its Subsidiaries demonstrating that the Leverage Ratio for the fiscal period covered thereby was less than or equal to 1.5 to 1.0 but greater than 1.0 to 1.0 and (iv) zero percent (0%), effective on the date on which Bank receives a consolidated Financial Statement of Borrower and its Subsidiaries demonstrating that the Leverage Ratio for the fiscal period covered thereby was less than or equal to 1.0 to 1.0; provided, however, that (x) if at any time there exists an Event of Default under the Amended and Restated Credit Agreement, or any event which, with notice or the lapse of time, or both, would become an Event of Default under the Amended and Restated Credit Agreement or (y) if Borrower fails to deliver any quarterly or annual Financial Statement to Bank within the required time period set forth in the Amended and Restated Credit Agreement, then the Leverage Ratio shall be deemed to be greater than 2.0 to 1.0 until such Event of Default or unmatured Event of Default is cured or otherwise waived by Bank or such quarterly or annual Financial Statement is delivered to Bank, as the case may be; and provided further, however, that the Reference Rate Margin shall never be a negative number.

Reference Rate Margin means 1.00% per annum through and including June 30, 1998; and 0.75% per annum commencing on July 1, 1998; PROVIDED, HOWEVER, that the Reference Rate Margin may be reduced by 0.25% per annum (but in no event shall it be less than 0.50% per annum) upon Foothill's determination that, as of the end of Borrower's fiscal year ending on or after December 31, 1998, and the end of any subsequent fiscal year of Borrower, (y) there did not exist any Event of Default (including any breaches of financial covenants) and (z) Borrower's Working Capital was greater than $6,500,000; such reduction in rate to be effective retroactively to the first day of the first full month of the fiscal year in which such determination is made. For purposes of this definition and for any date of determination, Foothill shall determine compliance with financial covenants, and the amount of Borrower's Working Capital, based upon Borrower's most recent Form 10-K Annual Report delivered pursuant to SECTION 6.4, and verified by Foothill.
