The Purchase Price for any Collateral acquired by the Buyer from the Seller on any Purchase Date after the Refinancing Closing Date pursuant to this Agreement shall be paid in a combination of (i) immediately available funds in cash and (ii) if the Buyer does not have sufficient funds in cash to pay the full amount of the Purchase Price, by means of a capital contribution by the Seller to the Buyer.
With respect to any Purchase Date after the Refinancing Closing Date, to the extent the value of the Collateral transferred by the Seller to the Buyer exceeds the value of the cash received by the Seller for such assets, such excess shall be deemed to constitute a capital contribution from the Seller to the Buyer.
For administrative convenience, the Refinancing Closing Date Participation Interests held by the Financing Subsidiary on the Refinancing Closing Date will be transferred directly from the Financing Subsidiary to the Buyer, but such Refinancing Closing Date Participations shall be deemed to have been distributed (through an intermediate entity) by the Financing Subsidiary to the Seller and sold by the Seller to the Buyer hereunder.
The Seller and the Financing Subsidiary acknowledge that from and after the Refinancing Closing Date it shall have no equitable or beneficial interest in any payment received by it with respect to any Refinancing Closing Date Participation Interest (other than any accrued and unpaid interest with respect to the period of time prior to and excluding the Refinancing Closing Date).
The parties hereby agree to treat the transfer of the Refinancing Closing Date Participation Interests by the Seller to the Buyer as a sale and purchase on all of their respective relevant books and records.
