Registration Deadline definition

Registration Deadline means the day falling 90 Registration Business Days after the Issue Date;

Registration Deadline means, for purposes of the Registration Statement required pursuant to Section 2(a)(i), the earlier of (i) the date that is seventy-five (75) days after the date that the applicable Registration Statement is actually filed or (ii) the date that is seventy-five (75) days after the applicable Filing Deadline and, with respect to any Registration Statement required pursuant to Section 2(a)(ii), the Additional Registration Deadline.

Registration Deadline has the meaning set forth in Section 2.3 hereof.

Examples of Registration Deadline in a sentence

• The Company shall use its best efforts to cause the Registration Statement to become effective as soon as practicable following the filing thereof, but in no event later than the Registration Deadline.

• The Company shall use its best efforts to have the registration statement declared effective by the Commission within one hundred and twenty (120) days after the Filing Deadline (the "Registration Deadline").

More Definitions of Registration Deadline

Registration Deadline means the one hundred twentieth (120th) calendar day following the Closing Date.

Registration Deadline means the earliest of (i) the one hundred and twentieth (120th) calendar day following the Closing Date, (ii) the sixtieth (60th) calendar day following the Filing Deadline, and (iii) the fifth (5th) Business Day after the Company learns that no review of the Registration Statement will be made by the staff of the Commission or that the staff of the Commission has no further comments on the Registration Statement.

Registration Deadline shall have the meaning ascribed to such term in Section 2.1 of this Agreement.
