Regulation S Global Note definition

Regulation S Global Note means a Global Note substantially in the form of Exhibit A hereto bearing the Global Note Legend and the Private Placement Legend and deposited with or on behalf of and registered in the name of the Depositary or its nominee, issued in a denomination equal to the outstanding principal amount of the Notes sold in reliance on Rule 903 of Regulation S.

Regulation S Global Note means a Regulation S Temporary Global Note or Regulation S Permanent Global Note, as appropriate.

Regulation S Global Note means a global Note bearing the Private Placement Legend and deposited with or on behalf of the Depositary and registered in the name of the Depositary or its nominee, issued in a denomination equal to the outstanding principal amount of the Notes initially sold in reliance on Rule 903 of Regulation S.

Examples of Regulation S Global Note in a sentence

• On an exchange of the whole of this Temporary Regulation S Global Note, this Temporary Regulation S Global Note shall be surrendered to the Depository at its office.

• On or after the 40th day after [ ]1, interests in this Temporary Regulation S Global Note may be exchanged (free of charge) for beneficial interests in a permanent Regulation S Global Note.

• Notwithstanding anything else in this Section 2.7(l)(i), prior to the Exchange Date a Certificated Note may only be exchanged or transferred for an equivalent beneficial interest in the corresponding Temporary Regulation S Global Note.

• On an exchange of only part of this Temporary Regulation S Global Note, details of such exchange shall be entered by or on behalf of the Issuer in Schedule A hereto.

More Definitions of Regulation S Global Note

Regulation S Global Note means a Regulation S Temporary Global Note or Regulation S Permanent Global Note, as applicable.

Regulation S Global Note means a Registered Global Note representing Notes sold outside the United States in reliance on Regulation S;

Regulation S Global Note has the meaning assigned to it in Section 2.1(e).

Regulation S Global Note means a permanent Global Note in the form of Exhibit A-1 hereto with respect to the 2025 Notes and Exhibit A-2 hereto with respect to the 2028 Notes, in each case, bearing the Global Note Legend and the Private Placement Legend and deposited with or on behalf of and registered in the name of the Depositary or its nominee, issued in a denomination equal to the outstanding principal amount of the Notes sold in reliance on Regulation S.

Regulation S Global Note means the Global Note substantially in the form of Exhibit A hereto, bearing the Global Note Legend and the Restricted Notes Legend representing the Notes offered and sold outside the United States in reliance on Regulation S.

Regulation S Global Note has the meaning set forth in Section 2.16.
