In the event of: (a) a Force Majeure, as defined in Article XVII, which is material to this Agreement, continuing, and cannot be promptly cured through the reasonable efforts of the Parties; or (b) a Regulatory change as defined in Article XIX, which cannot be promptly cured through the reasonable efforts of the Parties then either Party shall have the right to terminate the Agreement upon thirty (30) days written notice to the other, or such shorter notice as may be required by a Regulatory Issue.
The contract personnel should be well-versed in the use of nuclear power plant ASME B&PV Codes and Standards, Industry Guidance Documents, such as those of NEI, EPRI, NRC’s Regulatory Guides and NRC’s License Renewal Guidance Documents (such as NUREGs 1800, 1801, and 1950) Information Notice (IN), Regulatory Issue Summary (RIS), Generic Letter (GL), Generic Issue (GI) for licensing review by the NRC staff.
In the event the Regulatory Issue cannot be reasonably cured to the satisfaction of the affected Party, the Party so affected shall have the right to terminate the Agreement in accordance with Section 20.3.

If this agreement is terminated by Aerie for such a Regulatory Issue pursuant to Section 7.4 (i) or (ii), Aerie will pay to Cayman a Termination Fee per Section 7.8.1 save where such termination results from a Breach by Cayman of the terms of this Agreement.
