Regulatory Licenses definition

Regulatory Licenses means licenses, certifications, authorizations, consents, easements, waivers, certificates of occupancy or other permissions from a Governmental Authority to engage or operate in the Business as currently conducted.

Regulatory Licenses means each Permit required to be held any Credit Party or any Subsidiary thereof to conduct its Business in compliance with Applicable Laws.

Regulatory Licenses means (a) each Permit listed on Schedule 7.19 and (b) each Permit required to be held by any Consolidated Company, or that any Consolidated Company must have rights to use, to conduct its Business in compliance with Applicable Laws.

Examples of Regulatory Licenses in a sentence

• Buyer and Seller agree to use reasonable efforts to obtain all such Regulatory Licenses; provided, that (a) Buyer will not be required to take or omit to take any action in furtherance thereof that would be adverse to the business or operations of Parent, any Affiliate of Parent or the Business and (b) Seller will not, without the prior consent of Buyer, take or omit to take any action in furtherance thereof that would be adverse to the business or operations of Seller.

• Each License Subsidiary has no significant assets (other than the Regulatory Licenses held by it) or material liabilities (other than under the Loan Documents to which it is a party).

Regulatory Licenses has the meaning set forth in Section 3.01(a).

Regulatory Licenses means the Authorizations set forth in Section (23)(a) of the Company Disclosure Letter.
