Examples of Regulatory Licenses in a sentence
Buyer and Seller agree to use reasonable efforts to obtain all such Regulatory Licenses; provided, that (a) Buyer will not be required to take or omit to take any action in furtherance thereof that would be adverse to the business or operations of Parent, any Affiliate of Parent or the Business and (b) Seller will not, without the prior consent of Buyer, take or omit to take any action in furtherance thereof that would be adverse to the business or operations of Seller.
The parties anticipate the submission of the licensing applications listed on Schedule 12.11 to be submitted to MED and the applicable city, county, municipal or other local Governmental Authority following the execution of this Agreement, and Buyer agrees to pay all such application and marijuana licensing fees associated with such transfer of ownership of such Regulatory Licenses.
The Credit Parties shall, and shall cause their Subsidiaries to, maintain in good standing and keep effective all Regulatory Licenses except where the failure to do so could not reasonably be expected to have a Material Adverse Effect.
The Credit Parties shall ensure that all Material Regulatory Licenses remain in full force and effect in all material respects.
Each License Subsidiary has no significant assets (other than the Regulatory Licenses held by it) or material liabilities (other than under the Loan Documents to which it is a party).
