REIT Opportunity definition
REIT Opportunity means a direct or indirect opportunity to invest in real estate through mortgage loans, facility lease transactions and other investments. LTC shall have the right from time to time to provide written notice to Healthcare specifying certain criteria for a REIT Opportunity in addition to the criteria specified above in this definition of REIT Opportunity. Any such written notice from LTC may be modified or canceled by written notice given by LTC at any time. This definition of REIT Opportunity shall be modified as appropriate from time to time in accordance with any such written notices sent by LTC.
REIT Opportunity means a direct or indirect opportunity to invest in (i) real estate or hotel properties, real estate mortgages, real estate derivatives, or entities that invest primarily in or have a substantial portion of their assets in the aforementioned types of real estate assets, or (ii) any other investments which may be structured in a manner so as to be REIT- Qualified Investments (as hereinafter defined), as determined by the MSH Parties in their sole discretion. The MSH Parties shall have the right from time to time to provide written notice to the OPCO Parties specifying certain criteria for a REIT Opportunity in addition to the criteria specified above in this definition of REIT Opportunity. Any such written notice from the MSH Parties may be modified or canceled by written notice given by the MSH Parties at any time. The definition of REIT Opportunity shall be modified as appropriate from time to time in accordance with any such written notices sent by the MSH Parties.
REIT Opportunity means a direct or indirect opportunity to invest in (i) real estate (including without limitation the opportunity to provide services related to real estate or to invest in a hotel property), real estate mortgages, real estate derivatives, or entities that invest primarily in or have a substantial portion of their assets in the aforementioned types of real estate assets, or (ii) any other investments which may be structured in a manner so as to be REIT-Qualified Investments (as hereinafter defined), as determined by the Operating Partnership in its sole discretion. The Operating Partnership shall have the right from time to time to provide written notice to Crescent Operating specifying certain criteria for a REIT Opportunity in addition to the criteria specified above in this definition of REIT Opportunity. Any such written notice from the Operating Partnership may be modified or canceled by written notice given by the Operating Partnership at any time. The definition of REIT Opportunity shall be modified as appropriate from time to time in accordance with any such written notices sent by the Operating Partnership.
Examples of REIT Opportunity in a sentence
If the Operating Partnership does not respond by the end of the Ten-Day Period, the Operating Partnership shall be deemed to have rejected the REIT Opportunity.
If LTC accepts a REIT Opportunity, but subsequently decides not to pursue such opportunity or for any other reason fails to consummate such opportunity, LTC shall immediately provide written notice that it is no longer pursuing such REIT Opportunity to Healthcare.
LTC shall have ten days (the "Ten-Day Period") from the date of receipt of the Notice to notify Healthcare in writing that it has accepted or rejected the REIT Opportunity.
If LTC does not respond by the end of the Ten-Day Period, LTC shall be deemed to have rejected the REIT Opportunity.
The offer shall be made by written notice (the "Notice") from Healthcare to LTC, which Notice shall contain a detailed description of the material terms and conditions of the REIT Opportunity.
More Definitions of REIT Opportunity
REIT Opportunity means a direct or indirect opportunity to invest in neighborhood and community shopping centers, power centers, malls or other conventional retail properties (including without limitation the opportunity to provide services related to such real estate and to invest in entities that invest primarily in or have a substantial portion of their assets in such real estate), but not including office and industrial properties, single tenant retail properties, entertainment/ retail/mixed-use development projects, real estate mortgages, real estate derivatives, or entities that invest primarily in or have a substantial portion of their assets in such real estate assets. Excel shall have the right from time to time to provide written notice to Legacy specifying certain criteria for a REIT Opportunity in addition to the criteria specified above in this definition of REIT Opportunity. Any such written notice from Excel may be modified or canceled by written notice given by Excel at any time. This definition of REIT Opportunity shall be modified as appropriate from time to time in accordance with any such written notices sent by Excel.
REIT Opportunity means any opportunity, principally within the United States, to (i) acquire, develop, lease, sell or make any investment in retail real estate, real estate mortgages, real estate derivatives, or entities that invest exclusively in or have a substantial portion of their assets in any of the foregoing, so long as such investment would be consistent with the requirements of the Code and regulations relating to Kranzco's status as a REIT; or (ii)

Any such written notice from the Operating Partnership may be modified or canceled by written notice given by the Operating Partnership at any time. The definition of REIT Opportunity shall be modified as appropriate from time to time in accordance with any such written notices sent by the Operating Partnership.
REIT Opportunity means any opportunity to (i) make any investment in real estate (including the provision of services related to real estate, real estate mortgages, real estate derivatives, or entities that invest in the foregoing), or (ii) make any REIT-Qualified Investment; provided, that Vornado Sub may from time to time modify the foregoing definition of REIT Opportunity by providing written notice to the Company specifying certain additional criteria that an opportunity must meet in order to constitute a "REIT Opportunity"; provided, further, that any such written notice from Vornado Sub may from time to time be modified or canceled by providing written notice to the Company.
