Related Affiliate definition

Related Affiliate means with respect to any Lender with a Canadian Revolving Credit Commitment, an Affiliate or lending office of such Lender designated by it to make its Canadian Revolving Credit Commitment, Canadian Letters of Credit and Canadian Revolving Credit Loans available to the Borrower under this Agreement.

Related Affiliate shall have the meaning set forth in the definition of Principal Investor Majority.

Related Affiliate means with respect to any Canadian Lender, an Affiliate or lending office of such Canadian Lender designated by it to make its US$-Canadian Commitment and US$-Canadian Loans available to the Company under this Agreement.

Examples of Related Affiliate in a sentence

• If the claim is not filed within one (1) year of the Participant’s Separation from Service, neither the Plan nor any Employer nor any Related Affiliate shall have any obligation to pay the benefit and the claimant shall have no further rights under the Plan.

• Nothing contained herein shall be construed as conferring upon any Eligible Participant or Participant the right to continue in the employ of any Employer or any Related Affiliate as an officer or in any other capacity.

• In the event any Departing Lender is a US Revolving Lender, a UK Revolving Lender or a Canadian Revolving Lender, any Related Affiliate of such Lender which holds interests, rights and obligations under this Agreement (other than in respect of UAE Revolving Commitments, UAE Loans, Singapore Revolving Commitments or Singapore Loans), will be required to assign and delegate all such interests, rights and obligations to the same assignee or a Related Affiliate of such assignee as provided in Section 9.04.

More Definitions of Related Affiliate

Related Affiliate means, with respect to Xxxxxx Xxxxxx, (a) a foundation or similar entity established by Xxxxxx Xxxxxx or any Family Member for the principal purpose of serving charitable goals which are controlled by Xxxxxx Xxxxxx and/or any one or more Family Members; (b) any trust and/or estate ,the beneficiaries of which principally include Xxxxxx Xxxxxx, Family Members and/or the Persons named in clause (a); and (c) any corporation, limited liability company or partnership, the stockholders, members, managers or general or limited partners of which include only Xxxxxx Xxxxxx, Family Members and/or the Persons named in clauses (a) or (b).

Related Affiliate means a business or entity that is, directly or indirectly, controlled by the Company.

Related Affiliate means (a) with respect to any US Lender, such Lender's Affiliate which is a Canadian Lender hereunder if any, and (b) with respect to any Canadian Lender, such Lender's Affiliate which is a US Lender hereunder if any.

Related Affiliate means a trade or business, whether or not incorporated, which is a member of a controlled group of corporations, trades or businesses, as defined in Code Sections 414(b) and 414(c), of which the Company is a member.

Related Affiliate means (a) with respect to any US Revolving Lender, such Lender’s Affiliates which are a Canadian Revolving Lender and a UK Revolving Lender hereunder if any, (b) with respect to any Canadian Revolving Lender, such Lender’s Affiliates which are a US Revolving Lender and a UK Revolving Lender hereunder if any, and (c) with respect to any UK Revolving Lender, such Lender’s Affiliates which are a US Revolving Lender and a Canadian Revolving Lender hereunder if any.

Related Affiliate means all persons with whom Walmart would be considered a single employer under Code Sections 414(b) and 414(c), except that in applying Code Sections 1563(a)(1), (2) and (3) for purposes of determining a controlled group of corporations under Code Section 414(b), the language “at least 50 percent” shall be used instead of “at least 80 percent” in each place it appears in Code Sections 1563(a)(1), (2) and (3), and in applying Treas. Regs. Sec. 1.414(c)-2 for purposes of determining a controlled group of trades or businesses under Code Section 414(c), the language “at least 50 percent” shall be used instead of “at least 80 percent” in each place it appears in Treas. Regs. Sec. 1.414(c)-2.

Related Affiliate means any Person (a) over which any Related Control Person exercises day-to-day operational and managerial control as a managing member or otherwise, and (b) of which one or more Related Beneficial Owners collectively own, directly or indirectly, at least two percent (2%) of the economic interests.
