In the event any Departing Lender is a US Revolving Lender, a UK Revolving Lender or a Canadian Revolving Lender, any Related Affiliate of such Lender which holds interests, rights and obligations under this Agreement (other than in respect of UAE Revolving Commitments, UAE Loans, Singapore Revolving Commitments or Singapore Loans), will be required to assign and delegate all such interests, rights and obligations to the same assignee or a Related Affiliate of such assignee as provided in Section 9.04.
Any transfer of a direct or indirect interest in Developer shall constitute an assignment of this Agreement for purposes hereof if, as a result of such transfer, Developer is no longer controlled, directly or indirectly, by (x) Related or a Related Affiliate, (y) Oxford or an Oxford Affiliate or (z) Related and Oxford collectively.
Such fee shall be distributed by the Administrative Agent to each US Lender ratably based on the percentage, expressed as a decimal, determined by dividing the Revolving Credit Commitments of such Lender by the aggregate Revolving Credit Commitments of all Lenders (for purposes of this provision only, each Lender and its Related Affiliate, if any, shall be deemed to consist of a single Lender).
The effectiveness of the amendments to the Credit Agreement contained in Section 1 hereof and the waivers and extensions contained in Section 2 hereof shall be subject to the payment by the Borrowers to each Lender (for purposes of this provision only, each Lender and its Related Affiliate, if any, shall be deemed to consist of a single Lender) which executes and delivers this Amendment on or before July 30, 2002 of an amendment fee in the amount of US$2,500.
