Related Individual definition

Related Individual means an “individual“ related by blood, or by marriage or civil union (whether such status is derived by reason of statutory law, common law or otherwise of any applicable jurisdiction in the world) to another “individual”, including, without limitation, the “spouse” or former “spouse” of an insured, or the child, grandchild, parent, sibling, aunt, uncle, grandparent or cousin of an insured or an insured’s “spouse” or former “spouse”, and any trust or estate of which any of them is a beneficiary. With respect to any “entity insured”, "related individual" includes a "related individual" of each officer, director, shareholder, partner, member, employee or independent contractor of such “entity”.

Related Individual means a spouse, domestic partner, parent, grandparent, sibling, child or grandchild, whether by blood or marriage, of a person whose license or authority to engage in the business or commercial activity has been suspended.

• For the avoidance of doubt, in the event any Shares of Restricted Stock are held by or transferred to a Related Trust, the provisions of this Section 5(c) shall be applicable, mutatis mutandis, to any Shares of Restricted Stock held by such Related Trust upon the termination of employment of any Related Individual or upon any Related Individual’s engagement in a Competitive Activity, as applicable.

Related Individual means, for any entity or trust, the natural person who initially transferred, assigned or otherwise granted to such entity or trust (i) Securities of the Company or (ii) securities of Booz Xxxxx Xxxxxxxx, Inc. that were exchanged for Securities of the Company.

Related Individual means, (i) in relation to any Person that is an entity, any member of the entity’s board of directors, board of managers or similar governing body, any senior officer of such entity, and any holder of fifty percent (50%) or more of the ownership, beneficial, capital or profits or profits interests in such entity and (ii) in relation to any Person described in clause (i) who is a natural person, members of such Person’s Family. For these purposes, the “Family” of an individual includes (A) the individual, (B) the individual’s spouse, and (C) any other natural person who is related to the individual within the second degree.

Related Individual means, where the Client is an entity, any employee, representative, shareholder, agent, contact person or individual related to the Client and whose personal data must be processed by the Bank in the context of these Terms.
