Related Transactions definition

Related Transactions means the initial borrowing under the Revolving Loan on the Closing Date, the Refinancing, the payment of all fees, costs and expenses associated with all of the foregoing and the execution and delivery of all of the Related Transactions Documents.
Related Transactions means the transactions contemplated by the Related Agreements.
Related Transactions means the execution and delivery of the Related Transactions Documents entered into in connection with those Related Transactions consummated on the Closing Date, the funding of all Loans on the Closing Date, the repayment of a portion of the Indebtedness pursuant to the Senior Subordinated Loan Documents which is to be paid in full on the Closing Date, and the payment of all fees, costs and expenses associated with all of the foregoing.

Examples of Related Transactions in a sentence

  • No event shall have occurred and be continuing or would result from the consummation of the borrowing of the Loans on the Restatement Date or the Related Transactions that would constitute an Event of Default or a Default.

  • On the Restatement Date, the Administrative Agent and the Lenders shall have received a Solvency Certificate from the chief financial officer, treasurer or similar officer of Holdings or the Borrower, demonstrating that after giving effect to the consummation of the Related Transactions the Credit Parties are and will be, on a consolidated basis, Solvent.

Related Transactions means the transactions contemplated by the Related Agreements and includes, without limitation, the Closing Date Acquisition.
