Release Requirements definition

Release Requirements has the meaning assigned thereto in Section 4 hereof.
Release Requirements means, with regard to the Severance Payment to Executive described in Section II hereof, the execution by Executive, no later than fifty-three (53) days following the termination of Executive’s employment with Samson, of an effective general waiver and release of claims agreement in favor of Samson, substantially in the form attached hereto as Appendix A, PROVIDED that Executive does not revoke such general waiver and release of claims agreement within the seven (7) day statutory revocation period following Executive’s execution of same.

Examples of Release Requirements in a sentence

  • The Company's obligation to pay the Post-Change in Control Severance Payment or provide the benefits set forth in Section 5(b), (c), (d) and (e) is subject to and conditioned upon the Executive’s satisfaction of the Release Requirements.

  • Except as provided in Section 5(f), the Post-Change in Control Severance Payment shall be paid on the Payment Date provided that the Release Requirements are satisfied on or before the Payment Date and remain satisfied on the Payment Date.

  • If the Release Requirements are not satisfied on the Payment Date, no Pre-Change in Control Severance Payment shall be paid hereunder and none of the benefits described in Section 4(c), (d) or (e) shall be provided, and the Executive shall have no right to the Pre-Change in Control Severance Payment or the applicable benefits.

  • The Pre-Change in Control Severance Payment shall be paid on the sixtieth (60th) day (or if the sixtieth (60th) day falls on a weekend or banking holiday, the next succeeding business day) after the date of the Involuntary Termination (the “Payment Date”), provided that the Release Requirements are satisfied on or before the Payment Date and remain satisfied on the Payment Date.

  • If the period in which the Release Requirements could be satisfied spans more than one taxable year, then the Pre-Change in Control Severance Payment shall not be made until the later taxable year.


More Definitions of Release Requirements

Release Requirements shall have the meaning specified in Section 2.02(b) hereof.
Release Requirements has the meaning set forth in Section 12.1.3.
Release Requirements means the Executive’s execution and acceptance of the terms and conditions of, and the effectiveness of the Release and the expiration of the revocation period required by applicable law without the Executive’s revocation of the Release.
Release Requirements are satisfied as of any date if, as of such date, Executive has executed the Separation and Release Agreement attached hereto as Exhibit B (the “Release Agreement”), the revocation period set forth in the Release Agreement has expired, and Executive has not revoked the Release Agreement.

Release Requirements means the conditions described in each Call Option Agreement, Restricted Stock Award Agreement and/or Performance-Linked Award Agreement, as applicable, which must be satisfied and so determined by the Managing Director, in order for Participants or their Legitimate Successors to be entitled to subscribe for and pay, or receive, as the case may be, the Stock Options, Restricted Shares and/or Performance Related Restricted Shares, as applicable, and the same are deemed to be Released Shares.
