Relevant Obligor definition

Relevant Obligor means the obligor creating, incurring, assuming or suffering to exist any Inter-Company Subordinated Debt. The term “Obligor” means any of the Company and any Restricted Subsidiary.

  • For purposes of this Section 2.5, a distribution made under this Section 2 to holders of Senior Indebtedness which otherwise would have been made to the Relevant Creditor, or a payment made by the Relevant Creditor to holders of Senior Indebtedness in respect of a turnover obligation under this Section 2, is not, as between the Relevant Obligor and such holder, a payment by the Relevant Obligor on Senior Indebtedness.

More Definitions of Relevant Obligor

Relevant Obligor means any Obligor (other than the Company) that (a) does not have an interest in any Borrowing Base Asset or any shares or other interest in any person holding an interest in any Borrowing Base Asset (whether by reason of any Borrowing Base Asset ceasing to be so designated in accordance with this Agreement or otherwise) and (b) is not a Material Subsidiary.
Relevant Obligor means any Obligor (a) that has granted Security under a Security Document over such of its assets as specified by the Agent and (b) whose Holding Company(ies) have granted Security over all of the shares in that Obligor to the Security Trustee.
Relevant Obligor means the obligor creating, incurring, assuming or suffering to exist any indebtedness under clause (xiii) under the definition of Permitted Indebtedness under the Indenture and (b) the term "Permitted Junior Securities" means equity securities other than Redeemable Capital Stock or subordinated securities of the Relevant Obligor or any successor obligor provided for by a plan of reorganization or readjustment that, in the case of any such subordinated securities, are subordinate in right of payment to all Securities and Indenture Obligations to at least the same extent as the indebtedness evidenced by this agreement or instrument is so subordinated as provided herein.
Relevant Obligor means YED plc where YED plc RAV is to be determined, NEDL where NEDL RAV is to be determined and the Company where Aggregate RAV is to be determined; the "aggregate planned capital expenditure assumed by Ofgem" means £503,000,000 in the case of YED plc, £410,000,000 in the case of NEDL and £913,000,000 in the case of YED plc and NEDL when taken together;
Relevant Obligor means (x) prior to the Merger Date, CALI and each of the Subsidiary Guarantors and (y) from and after the Merger Date, each Borrower and each of the Subsidiary Guarantors; (ii) "EXCESS FUNDING GUARANTOR" shall mean, in respect of any Guaranteed Obligations, a Relevant Obligor that has paid an amount in excess of its Pro Rata Share of such Guaranteed Obligations; (iii) "EXCESS PAYMENT" shall mean, in respect of any Guaranteed Obligations, the amount paid by an Excess Funding Guarantor in excess of its Pro Rata Share of such Guaranteed Obligations; (iv) "PRO RATA SHARE" shall mean, for any Relevant Obligor, the ratio (expressed as a percentage) of the amount of such Relevant Obligor's Net Assets to the amount of the aggregate Net Assets of all of the Relevant Obligors, in each case determined as of (A)(x) with respect to any Relevant Obligor that is a party hereto on the Initial Borrowing Date, the Initial Borrowing Date or (y) with respect to any other Relevant Obligor, the date such Relevant Obligor becomes a Relevant Obligor hereunder or (B) the date any demand is made hereunder in respect CREDIT AGREEMENT
Relevant Obligor shall have the meaning assigned to such term in Section 6.08 hereof.
