Reliance Letters definition

Reliance Letters means letters satisfactory to the Agent and addressed to the Agent from the title attorneys, land brokers, environmental consultants or similar professionals who are not providing supplemental title opinions or environmental assessments, as applicable for certain Oil and Gas Properties of Borrower and its Subsidiaries which allow the Agent to rely on their prior opinions or assessments, as applicable for such Oil and Gas Properties in extending credit to the Borrower and/or its Subsidiaries.

Reliance Letters means letters satisfactory to the Agent and addressed to the Agent from the title attorneys who are not providing supplemental title opinions which allow the Agent to rely on their prior opinions in extending credit to the Borrower and/or its Subsidiaries.

Reliance Letters means letters from each of the report providers referred to in Schedule 2 in a form acceptable to the Agent.

Examples of Reliance Letters in a sentence

• HCW shall have received the opinion and negative assurance letters or Reliance Letters of Company Counsel required to be delivered pursuant to Section 7(n) on or before the date on which such delivery of such opinion and negative assurance letter is required pursuant to Section 7(n).

• The Agent shall have received the opinions or Reliance Letter(s) of Company Counsel required to be delivered pursuant to Section 8(n) on or before each date on which the delivery of such opinion is required pursuant to Section 8(n).

• Consultant hereby agrees promptly to execute and deliver any and all such Reliance Letters and/or Consents to Assignment upon request of Client.

More Definitions of Reliance Letters

Reliance Letters has the meaning ascribed to such term in Section 5.2(v).

Reliance Letters means letters issued by certain third parties to Purchaser (or to MOP or a Seller with specific permission that Purchaser may rely thereon) relating to certain environmental, engineering, property condition and other reports prepared by such third parties, which reports are listed on Exhibit A.

Reliance Letters means, with respect to Environmental Reports, letters from the preparers of such reports permitting Purchaser to rely upon such reports.

Reliance Letters means the reliance letters in favour of the Purchaser with respect to each Vendor Due Diligence Report; Relief means, unless the context otherwise requires, any allowance, credit, deduction, exemption or set off in respect of any Tax or relevant to the computation of any income, profits or gains for the purposes of any Tax, or any right to or actual repayment of or saving of Tax (including any repayment supplement, fee or interest in respect of Tax), and any reference to the use or set off of Relief shall be construed accordingly;

Reliance Letters means, collectively, (a) that certain reliance letter, dated as of the Closing Date, by the Independent Engineer in favor of the Administrative Agent and the Lenders party hereto, and (b) that certain reliance letter, dated as of the Closing Date, by Environmental Resources Management Southwest, Inc. in favor of the Administrative Agent, the Collateral Agent and the Lenders party hereto.
