On each Payment Date prior to an Acquisition Date with respect to a Remaining Aircraft, the Cash Manager shall pay or shall direct the Operating Bank to pay to the relevant Seller an amount equal to the Rent Payment Reimbursement Amount for such Remaining Aircraft for the Rent Transfer Period ending immediately preceding such Payment Date, such payment to be made from the Investment Earnings in the Aircraft Purchase Account for such Remaining Aircraft accrued during such Rent Transfer Period.
On each Payment Date an amount equal to the Monthly Principal Payment Amount and Investment Earnings for each Remaining Aircraft that is not part of the ACS Group Portfolio as of such Payment Date will be transferred to the Collections Account by the Operating Bank at the written direction of the Administrative Agent.
As and to the extent provided in Section 3.04 hereof, an amount equal to the Aircraft Allocation Amount for each Remaining Aircraft acquired on the relevant Acquisition Date will be transferred from the Collections Account out of the proceeds of the ACS Group Loans and the Class E Securities to the Aircraft Purchase Account for such ACS Group Aircraft.
If the Net Cash Flow Amount for such Remaining Aircraft is greater than such aggregate amount for each such Substitute Aircraft on such date, the Issuers shall pay an amount equal to the difference to the Seller as an “Expense” (as defined in the Indenture) on the earlier of (x) the Payment Date relating to the next following Determination Date and (y) the first Closing Date for any such Substitute Aircraft.
Each Substitute Aircraft Supplement shall contain a certification in reasonable detail by such Seller of the Net Cash Flow Amount in respect of the relevant Remaining Aircraft and in respect of the related Substitute Aircraft, in each case as of the date of such Substitute Aircraft Supplement.
