Seller shall be responsible for WARN Act compliance with respect to all other employees of Seller, including the Remaining Employees.
Seller shall be responsible for any post-retirement medical, mental health, substance abuse, and dental coverage for the Remaining Employees (“Seller’s Post-Retirement Health Care Coverage”).
The Seller shall make payment of the severance benefits described above to the Remaining Employees eligible to receive such payments, and the Buyer shall make payments of the severance benefits described above to the Transferred Employees eligible to receive such payments.

The Seller shall comply with all notice and any other requirements under WARN and any similar state, local, or foreign country statute with respect to all Remaining Employees and all other employees of the Seller.
