REMIC Pool. Any of REMIC I, REMIC II or REMIC III.

REMIC Pool means each of the three segregated pools of assets designated as a REMIC pursuant to Section 12.1(a) hereof.

• The Special Servicer shall act in accordance with this Agreement and the REMIC Provisions and related provisions of the Code in order to create or maintain the status of any REMIC Pool as a REMIC or, as appropriate, adopt a plan of complete liquidation.

• As provided herein, the Certificate Administrator shall not take any actions to cause the portions of the Trust Fund consisting of the Grantor Trust to fail (i) to maintain its status as a “grantor trust” under federal income tax law and (ii) to not be treated as part of any Trust REMIC Pool.

• The Servicer shall indicate the date of adoption of the plan of qualified liquidation in a statement attached to the final federal income tax return of each REMIC Pool.

• The Paying Agent shall prepare and file Form 8811 on behalf of each REMIC Pool and shall designate an appropriate Person to respond to inquiries by or on behalf of Certificateholders for original issue discount and related information in accordance with applicable provisions of the Code.

• The Loss of Value Reserve Fund shall be accounted for as an outside reserve fund within the meaning of Treasury Regulations Section 1.860G-2(h) and not an asset of any REMIC Pool.

More Definitions of REMIC Pool

REMIC Pool means each of the three (3) segregated pools of assets designated as a REMIC pursuant to Section 12.1(a) hereof. For the avoidance of doubt, no BANA Lender Successor Borrower Right, CIBC Lender Successor Borrower Right or MSMCH Seller Defeasance Rights and Obligations is a part of any “REMIC Pool”.

REMIC Pool means any of REMIC I, REMIC II, REMIC III and, subject to Section 2.06(b), the Loan REMICs.

REMIC Pool. With respect to REMIC I, the assets of the Trust other than the Prefunding Account, Capitalized Interest Account, Net Rate Cap Fund, the REMIC I Regular Interests and the REMIC II Regular Interests; with respect to REMIC II, the REMIC I Regular Interests, other than the Class P Certificates; and, with respect to REMIC III, the REMIC II Regular Interests.

REMIC Pool. With respect to each Series, a discrete group of assets included in the related Trust Fund as to which a REMIC election has been or is intended to be made, consisting of (i) the related Assets and all proceeds thereof, (ii) cash (if any) and other amounts on deposit in the Custodial Account, to the extent allocable to such REMIC Pool, (iii) the right to receive payments under the related guarantee, (iv) the rights of such REMIC Pool under any related GIFC and (v) any other eligible assets specified in the related Terms Supplement, excluding any investment earnings on any of the Assets of that REMIC Pool.

REMIC Pool means either of the Lower-Tier REMIC and/or the Upper-Tier REMIC, as applicable.
